Terms of Service

1. Acceptance of Terms

By accessing or using the AgroFlow platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

AgroFlow is a sales force automation platform designed for agrochemical companies. The Service includes tools for order management, field agent tracking, customer relationship management, inventory control, delivery logistics, and business analytics. We may update, modify, or discontinue features of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that all users added to your organization comply with these Terms

4. Subscription and Payments

AgroFlow offers a 14-day free trial. After the trial period, continued access requires a paid subscription. By subscribing, you agree to the following:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise stated
  • We may change pricing with 30 days' written notice
  • Failure to pay may result in suspension or termination of your account

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload or transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to other accounts or systems
  • Interfere with or disrupt the integrity of the Service
  • Resell, sublicense, or redistribute the Service without written consent

6. Data Ownership

You retain all rights to the data you submit to the Service ("Your Data"). By using the Service, you grant AgroFlow a limited license to process, store, and display Your Data solely for the purpose of providing and improving the Service. We will not sell, share, or use Your Data for purposes unrelated to the Service without your explicit consent.

7. Intellectual Property

The Service, including its software, design, logos, and documentation, is the property of AgroFlow and is protected by intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works from any part of the Service without prior written permission.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be communicated in advance when possible. We are not liable for any downtime, data loss, or damages resulting from service interruptions beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, AgroFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Termination

Either party may terminate these Terms at any time. You may cancel your account through your account settings or by contacting support. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 30 days of termination.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms shall be resolved through binding arbitration in Nairobi, Kenya, unless both parties agree to an alternative resolution.
